These Terms of Use/Website (“User Terms”) describe the rules, agreements, and obligations for using or accessing Ninefold Pest’s website and any related electronic digital service options, links, and applications (collectively “Website”). Ninefold Pest’s Website is intended for potential or existing customers of Ninefold Pest, which operates in select regions in the United States of America. BY USING OR ACCESSING THE WEBSITE OR COMMUNICATING WITH NINEFOLD PEST THROUGH OR BY MEANS OF THE WEBSITE, YOU THEREBY AGREE TO AND ACCEPT THE USER TERMS, INCLUDING WITHOUT LIMITATION THE MANDATORY ARBITRATION/CLASS ACTION AND JURY WAIVER OBLIGATIONS AND THE LIMITATION OF LIABILITY/DAMAGES PROVISION. THUS, PLEASE REVIEW ALL OF THE USER TERMS.

Pursuant to the User Terms, Ninefold Pest shall have the right to impose changes or modifications to the User Terms at any time, and such changes will be posted on the Website along with the indicated Effective Date. Such changes or modifications shall be effective immediately upon posting to the Website. By using or continuing to use the Website, you consent to any changes or modifications to the User Terms.

Restrictions & Obligations:

Under the User Terms, the following restrictions apply: (i) It is prohibited to copy, modify or attempt to modifythe User Terms, the Website, or the Website’s displayed content or code; (ii) You may not use, access or interact via or bymeans of the Website in any many that is illegal or that constitutes a violation of the User Terms; (iii) It is prohibited to provide or transmit any misrepresentation or false statement through or with respect to the Website; (iv) It is prohibited to engage in any form of cyber-manipulation or tracking, defamation, or any other malicious, threatening, harassing, illegal, or obscene conduct relative to the Website or any application or displayed content on the Website; and (v) It is prohibited to attempt to reverse engineer or modify any application, software, display, or code associated with the Website.

Any attempted use of the Website that could, in Ninefold Pest’s sole judgment, disrupt or damage the Website or the ability to use/access the Website is prohibited and Ninefold Pest reserves the absolute right and ability, withoutrecourse or claim by you, to terminate such use or attempted use of the Website. If Ninefold Pest blocks you or your IP address, you agree to not implement any effort to circumvent such blocking, either directly or indirectly.

Ninefold Pest reserves the right, at its sole discretion, to take such measures as may be necessary to enforce the User Terms or seek relief for the violation or breach of the User Terms. By using or accessing the Website, you agree to defend, indemnify, and hold harmless Ninefold Pest, including its affiliated entities and operations, employees,contractors, members, managers, and agents for any and all liabilities, causes of actions or damages, and attorney fees and costs that arise out of or relate to your violation or breach of the User Terms.

Content Rights and Use:

If you provide, submit, or post any content or material whatsoever to the Website or to Ninefold Pest, you thereby grant to Ninefold Pest a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughoutthe world in any media, including the same with respect to the Website and you further thereby grant to Ninefold Pest, including with respect to any sub-licensees, the right use the name and related information that you provide, submit or post with such content or material. In providing, submitting or posting to the Website or to Ninefold Pest, you thereby represent and warrant that: (i) you own or control all of the content or material that you post or provide; (ii) such content is accurate; (iii) the use or posting of such content or material does not violate the User Terms or any applicable law or regulation; (iv) you are aged 18 years or older and are resident or citizen of the United States of America and a prospective or current customer of Ninefold Pest; and (v) you shall indemnify and hold Ninefold Pest and all its affiliated entities and operations (including employees, contractors, members, managers, and agents) harmless for all claims, causes of action, or any damages and costs resulting from any content, information, or material that provide.

If you are not citizen or resident of United States of America that is at least aged 18 years or older who is a prospective or current customer of Ninefold, you are prohibited from using or accessing the Website.

Subject to the User Terms, Ninefold Pest grants to you a personal, non-commercial, non-transferable, non-exclusive, revocable, limited license to view and access the Website for the limited and defined purpose of obtaining information regarding Ninefold Pest’s services and products. All rights, titles, and interests in and to the Website,including all intellectual property, copyright, trademark, patent, and trade secret rights, as applicable, shall remain with or vested in Ninefold Pest. Ninefold Pest may, in its absolute discretion, terminate this license at any time for any reason orno reason. If you breach any of the User Terms or otherwise engage in any illegal or prohibited conduct, either directly or indirectly, this license relative to the Website shall terminate immediately. Upon such termination, you shall cease from using or accessing the Website in any manner whatsoever.

Communications:

When you provide your phone number, email address or any other contact information to Ninefold Pest, via the Website or otherwise, you thereby agree and consent to Ninefold Pest to contact you via such information or through othertechnological means, including messaging, texting, autodialing, SMS, and marketing or service mailers.

Limitation of Liability/Damages:

To the fullest extent permitted by applicable law and with respect to the User Terms or any use of or access to the Website, you acknowledge and agree that Ninefold Pest (including its agents, members, employee, contractors or managers) shall have no liability for any loss or damage, including compensatory, indirect, incidental, consequential or punitive damages based on warranty, contract, tort, strict liability, or any other legal theory, whether at law or in equity.

No Warranty:

No warranty, implied or otherwise, is provided by them User Terms or the Website. Your use of or access to the Website is at your own risk. Ninefold Pest does not guarantee or warrant the accuracy, completeness, timeliness,correctness, or reliability of any content displayed or made available through or by means of the Website. The Website(inclusive of content or related applications and links) is provided to you when available and is provided on an “as is” basis.

Governing Law & Mandatory Arbitration/Class Action and Jury Waiver:

You agree that Utah law (without regard to conflict of laws principles) governs these User Terms and any claim, controversy, or dispute that you may have against Ninefold Pest regarding the User Terms or any use of or access to theWebsite. You further agree and acknowledge, to the fullest extent permitted by applicable law, that any claim or dispute that arises out of or is related to the Website and/or the User Terms shall be resolved solely and exclusively throughbinding arbitration pursuant to the applicable rules and procedures of the American Arbitration Association.

In addition, based on the arbitration obligation, you waive the right to a jury trial and you further agree that anyclaim, controversy, or dispute that is related to or arises out of the User Terms or any use of or access to the Website shall be adjudicated or otherwise resolved on an individual basis, and that you waive the right or ability to participate in a class, collective or other joint action.

Severability:

If any provision of the User Terms is held to be unenforceable or invalid by an arbitrator or court of competent jurisdiction, the remaining portions of the User Terms shall be determined and applied without the invalid provision. All other User Terms shall remain in full force and effect.

Miscellaneous

The User Terms constitute the entire, sole and complete agreement between you and Ninefold Pest with respect to the Website. No failure or delay by Ninefold Pest in exercising any right, power or privilege granted or existing underthe User Terms shall operate as a waiver. All waivers must be made expressly in writing and signed by an authorized representative of Ninefold Pest. Pursuant to its sole discretion, Ninefold Pest may assign its rights and obligations under the User Terms or with respect to the Website.
